Section 264. The Commissioner shall examine the plan submitted to him under the provisions of sub-paragraph three of section two hundred sixty-three. He shall not approve such plan unless in his opinion the rights and interest of the insurer, its policyholders and shareholders are protected nor unless he is satisfied that the plan will be fair and equitable in its operation.
